1. Overview

Welcome to Sportsbike.

These Terms of Service govern your use of the Sportsbike website, online store, products and related services.

The terms “Sportsbike”, “we”, “us” and “our” refer to Sportsbike, ABN 53 663 702 243.

Our online store is powered by Shopify.

By accessing our website, creating an account or placing an order, you agree to these Terms together with our:

  • Privacy Policy;
  • Shipping and Returns Policy; and
  • any other policies or terms expressly applying to a particular product, promotion or service.

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law (ACL).

2. Eligibility and Accounts

You must have legal capacity to enter into a purchase agreement in your jurisdiction or have the involvement and consent of an appropriate parent or guardian where required.

You agree that information you provide to Sportsbike, including your contact, billing and delivery information, will be accurate and current.

If you create a customer account, you are responsible for maintaining the security of your account credentials and for activity occurring through your account.

Please contact us promptly if you believe your account has been accessed without authorisation.

3. Product Information

Sportsbike takes reasonable steps to provide accurate product descriptions, specifications, images, fitment information and pricing.

However:

  • colours can appear differently depending on screen settings and lighting;
  • manufacturers may revise product designs, packaging or specifications;
  • images may show optional components or accessories unless otherwise stated;
  • minor manufacturing or finish variations may occur; and
  • product information supplied by manufacturers may occasionally change.

Where a material product specification changes before your order is fulfilled, we will take reasonable steps to advise you if that change materially affects what you ordered.

Nothing in this section limits applicable consumer guarantees, including guarantees relating to acceptable quality, fitness for purpose and correspondence with description.

4. Motorcycle Fitment

Products identified as compatible with a particular motorcycle should be checked against the exact:

  • make;
  • model;
  • model year;
  • product code; and
  • relevant motorcycle configuration.

The Sportsbike Bike Finder and Fitment Guide identify product compatibility only. They do not certify that a product is approved for public-road use.

A product described as universal is not necessarily suitable for every motorcycle. Dimensions, mounting requirements, thread sizes, adapters, electrical connections or other specifications may need to be checked.

Modified motorcycles may require additional fitment consideration.

If you are uncertain about compatibility, please contact Sportsbike before ordering.

5. Installation

Many products sold by Sportsbike are specialist motorcycle components.

Sportsbike recommends professional installation for technically complex or safety-critical products including:

  • braking components;
  • clutches;
  • rearsets and rider controls;
  • electronic products;
  • suspension components; and
  • exhaust systems.

Always follow the manufacturer's installation instructions, torque specifications and maintenance requirements.

Damage or faults caused by incorrect installation, improper fitting, modification or installation errors may not be covered under warranty.

This does not remove Australian Consumer Law rights where a product independently fails to meet an applicable consumer guarantee.

6. Road Use, Racing Products and Homologation

Some products sold by Sportsbike are intended for racing, competition or closed-course use.

A product being compatible with a motorcycle does not automatically mean it is permitted for use on Australian public roads.

Terms such as:

  • Racing;
  • Race use only;
  • Homologated;
  • Euro 5;
  • Euro 5+; or
  • similar overseas approval terminology

should be considered together with the specific product documentation and applicable Australian requirements.

European or other overseas homologation does not automatically establish Australian road legality.

Customers are responsible for ensuring that modifications made to their motorcycles comply with applicable Australian, state and territory requirements.

7. Orders

Submitting an order through the website constitutes an offer to purchase the products shown in your order.

An automated order confirmation means that Sportsbike has received your order. It does not necessarily mean that we have completed our review of stock availability, pricing, shipping restrictions or other fulfilment requirements.

An order is accepted when Sportsbike expressly confirms acceptance or commences fulfilment of the order.

Payment may be authorised or processed before final fulfilment. If Sportsbike does not accept an order after payment has been processed, the relevant amount will be refunded.

Sportsbike may reasonably decline an order before acceptance where, for example:

  • the product is unavailable;
  • there is a genuine pricing or listing error;
  • payment cannot be processed;
  • a shipping restriction applies;
  • we reasonably suspect fraud or misuse; or
  • fulfilment would be unlawful.

Nothing in this section permits Sportsbike to avoid an order or consumer obligation contrary to applicable law.

8. North American Orders

For insurance reasons, Sportsbike currently does not accept or ship orders to customers located in, or with a delivery address in:

  • United States;
  • Canada; or
  • Mexico.

If an order is identified as originating from or requiring delivery to one of these countries, it may be cancelled and any payment received will be refunded.

9. Prices

Unless otherwise stated, prices displayed on the Australian Sportsbike website are in Australian dollars (AUD).

Prices, discounts and promotions may change from time to time.

The applicable product price is normally the price displayed when your order is submitted, subject to genuine pricing or listing errors.

International freight, import duties, taxes, brokerage charges and customs fees may be additional.

10. Pricing and Listing Errors

Sportsbike takes reasonable steps to ensure that prices and product information are accurate.

Occasionally, a genuine technical, supplier-data or human error may result in an incorrect price or product listing.

If an error is identified before an affected order is accepted or dispatched, we may pause fulfilment and contact you.

Where appropriate, you may be offered the option to:

  • proceed at the corrected price; or
  • cancel the affected item or order for a refund of any applicable payment already made.

Nothing in this section permits Sportsbike to avoid obligations imposed by the Australian Consumer Law, including applicable rules regarding price displays or misleading representations.

11. Payment

You must be authorised to use the payment method provided for an order.

Available payment methods are displayed during checkout and may include card payments and supported accelerated or instalment-payment services.

Third-party payment providers may have their own terms and eligibility requirements.

12. Order Cancellations

Customer-Initiated Cancellations

Please contact Sportsbike as soon as possible if you wish to cancel an order.

For standard products that have not yet been dispatched or irreversibly committed to a supplier order, Sportsbike will generally allow cancellation and provide a refund.

Once a product has been dispatched, a cancellation may instead be treated as a voluntary change-of-mind return under our Shipping and Returns Policy.

Special Orders

Special orders include products specifically sourced for a customer, products not normally held locally, made-to-order products and special configurations.

Once procurement or production of a special-order product has progressed to a point where Sportsbike has incurred non-recoverable costs or the supplier has dispatched the product, we may decline a change-of-mind cancellation.

This does not limit rights relating to faulty, misdescribed or otherwise non-compliant goods under the Australian Consumer Law.

Customised Products

Customised or personalised products can include special colours, finishes, logos, engraving or other customer-specific configurations.

Once production or customisation has commenced, the order generally cannot be cancelled for change of mind.

Australian Consumer Law rights continue to apply.

13. Deposits on Selected High-Value Products

Sportsbike may offer a deposit option on selected products priced over AUD $1,500, including certain exhaust systems, clutch systems and braking products.

Unless otherwise specified for the individual product:

  • the deposit is 40% of the total purchase price;
  • the deposit secures the applicable product, supplier order or stock allocation;
  • Sportsbike will confirm relevant availability and estimated timing where available;
  • the remaining balance must be paid before dispatch; and
  • once Sportsbike notifies you in writing that the product has arrived or is ready for final payment, the balance must generally be paid within 21 days.

For a product ordered specifically for you, a change-of-mind cancellation after supplier dispatch may result in all or part of the deposit being retained to cover reasonable, demonstrable and non-recoverable costs or losses actually incurred by Sportsbike.

For stock or incoming-stock allocations, Sportsbike may similarly deduct reasonable costs actually incurred as a direct result of a late cancellation.

Any amount retained will not exceed Sportsbike's reasonable loss arising from the cancellation and is not intended to operate as a penalty.

If the remaining balance is not paid within 21 days after written notification, Sportsbike may contact you before cancelling the order and may seek to recover reasonable costs already incurred.

Nothing in these deposit terms limits rights under the Australian Consumer Law.

14. Gift Cards and Vouchers

Purchased Sportsbike gift cards or vouchers are generally not refundable for change of mind once issued.

Australian gift-card laws apply.

Where those laws apply, a purchased gift card will remain valid for at least the minimum period required by law, which is currently generally three years from the date of supply for covered gift cards.

Any conditions or restrictions applying to a gift card will be disclosed when it is issued.

Nothing in this section excludes rights that cannot lawfully be excluded.

The ACCC confirms that most gift cards purchased in Australia must be valid for at least three years.

15. Promotional Sale Periods

During major promotional periods, processing and supplier-order times may be longer than usual.

Some promotional products may be consolidated into supplier orders after a promotion ends in order to obtain the advertised pricing.

Where this materially affects expected delivery timing, Sportsbike will provide relevant information where reasonably practicable.

If Sportsbike cannot supply an order within the agreed or a reasonable period, applicable consumer rights remain available.

16. Shipping and Delivery

Australian shipping, international freight, express delivery, supplier-order lead times and delivery procedures are explained in our Shipping and Returns Policy.

Delivery times are estimates unless we expressly agree to a guaranteed delivery date.

Delivery may be affected by:

  • supplier availability;
  • freight carriers;
  • customs;
  • extreme weather;
  • public holidays;
  • international transport delays; and
  • other circumstances outside Sportsbike's reasonable control.

If an order is lost, damaged or significantly delayed in transit, please contact Sportsbike so that we can investigate and assist with the appropriate resolution.

Nothing in these Terms transfers to the customer any delivery risk or responsibility that Sportsbike is required to retain under applicable law.

17. Returns, Faults and Consumer Guarantees

Returns are governed by our Shipping and Returns Policy.

Products sold to Australian consumers come with consumer guarantees where the Australian Consumer Law applies.

These rights cannot be excluded by Sportsbike's Terms, returns policy or a manufacturer's warranty.

Depending on the circumstances, available remedies for a failure to meet a consumer guarantee can include:

  • repair;
  • replacement;
  • refund; and
  • compensation for reasonably foreseeable loss or damage where provided by law.

Where a product has a major failure, the consumer may be entitled to choose between a refund and replacement.

Where a problem is minor, Sportsbike will generally have an opportunity to provide an appropriate remedy within a reasonable period.

Sportsbike may reasonably assess a product before determining the appropriate remedy.

The ACCC confirms that a retailer is responsible for addressing problems with products it sells and cannot require a customer to deal only with the manufacturer.

18. Manufacturer Warranties

Many products sold by Sportsbike are also covered by voluntary manufacturer warranties.

Manufacturer warranty duration and conditions vary between brands and products.

Manufacturer warranties operate in addition to, rather than instead of, applicable Australian Consumer Law rights.

Sportsbike may liaise with the manufacturer where technical inspection or manufacturer expertise is useful, but this does not remove Sportsbike's responsibilities as the retailer where the Australian Consumer Law applies.

19. Intellectual Property

Unless otherwise stated, content on the Sportsbike website — including text, graphics, design, layout and Sportsbike branding — is owned by or licensed to Sportsbike and is protected by applicable intellectual-property laws.

Manufacturer:

  • trademarks;
  • logos;
  • product names;
  • photographs;
  • videos;
  • specifications; and
  • other manufacturer content

remain the property of their respective owners or licensors.

You may use the website for ordinary personal shopping and informational purposes.

You must not reproduce, distribute, commercially exploit or systematically extract Sportsbike website content without permission, except where permitted by law.

20. Third-Party Services and Links

Sportsbike may provide links to:

  • manufacturer websites;
  • installation manuals;
  • videos;
  • payment providers;
  • social-media services; and
  • other third-party websites or tools.

Third parties operate under their own terms, policies and privacy practices.

Sportsbike is not responsible for the content or operation of third-party websites that we do not control.

Nothing in this section limits responsibility that Sportsbike cannot lawfully exclude.

21. Shopify

Sportsbike's online store is powered by Shopify.

Products purchased through this store are sold by Sportsbike, not Shopify.

Shopify provides the ecommerce technology used to operate the store and processes certain information as described in our Privacy Policy and Shopify's applicable privacy documentation.

22. Privacy

Sportsbike handles personal information in accordance with our Privacy Policy.

Our Privacy Policy explains:

  • what information we collect;
  • how it is used;
  • how it may be disclosed;
  • overseas processing;
  • cookies and analytics; and
  • privacy access, correction and complaint procedures.

23. Reviews, Feedback and User Content

If you submit a product review, photograph, testimonial, suggestion or other content to Sportsbike, you confirm that:

  • you have the right to provide it;
  • it does not infringe another person's rights;
  • it is not unlawful, misleading, defamatory or malicious; and
  • any material relationship or incentive relevant to a review has been appropriately disclosed.

You grant Sportsbike a non-exclusive, worldwide, royalty-free licence to use, reproduce and display content you voluntarily submit for the purposes of operating, promoting and improving Sportsbike and its Services.

We may remove content that is unlawful, misleading, abusive, spam, infringing or otherwise inappropriate.

24. Acceptable Use

You must not use the Sportsbike website:

  • for unlawful or fraudulent purposes;
  • to interfere with website security or operation;
  • to introduce malware or harmful code;
  • to impersonate another person;
  • to misuse customer or account information;
  • to infringe intellectual-property rights;
  • to send spam or unauthorised communications; or
  • to attempt to bypass access or security controls.

Automated access, scraping or data extraction is not permitted where it circumvents technical controls or occurs contrary to Sportsbike's express instructions, except where permitted by law or expressly authorised by Sportsbike.

25. Website Availability

Sportsbike aims to keep the website available, accurate and secure but does not guarantee that the website will always operate without interruption or technical error.

We may temporarily suspend or change website functionality for maintenance, security or operational reasons.

This section relates to website availability and does not limit guarantees or remedies that apply to products purchased from Sportsbike.

26. Liability

Nothing in these Terms excludes, restricts or modifies:

  • the Australian Consumer Law;
  • liability that cannot lawfully be excluded;
  • rights to compensation for reasonably foreseeable loss or damage arising from a failure to meet an applicable consumer guarantee; or
  • any other mandatory statutory right.

The ACCC confirms that consumers may be entitled to compensation for reasonably foreseeable losses caused by a failure to meet a consumer guarantee.

To the maximum extent permitted by law, Sportsbike is not responsible for indirect or consequential loss arising solely from circumstances outside our reasonable control and not caused by a breach of our legal obligations.

Nothing in these Terms is intended to exclude liability for personal injury, property damage or other loss where exclusion would be unlawful.

27. Indemnity for Unlawful Use

To the extent permitted by law, you are responsible for loss suffered by Sportsbike as a direct result of your:

  • unlawful use of the Services;
  • intentional misuse of the website;
  • infringement of another person's rights; or
  • material breach of these Terms.

This section does not require you to indemnify Sportsbike for loss caused by Sportsbike's own negligence, unlawful conduct or breach of applicable consumer law.

28. Suspension or Termination of Website Access

Sportsbike may suspend or restrict access to customer accounts or website functionality where reasonably necessary because of:

  • suspected fraud;
  • unlawful conduct;
  • security risks;
  • serious misuse of the Services; or
  • material breach of these Terms.

Where practicable and appropriate, we will provide notice.

Termination of website access does not affect rights or obligations relating to orders already accepted, consumer guarantees or other rights that survive termination.

29. Trade and Wholesale Customers

Approved Sportsbike trade, dealer or wholesale accounts may be subject to additional commercial terms.

Where separate written trade terms apply, those terms will govern the relevant trade transaction to the extent of any inconsistency with these general consumer Terms.

Nothing in this section excludes statutory rights that apply to a particular transaction.

30. International Customers

International customers may have mandatory consumer rights under the laws applicable to their transaction.

Where applicable law provides rights that cannot validly be excluded by these Terms, those rights continue to apply.

Customers in the United Kingdom or European Economic Area may, where applicable, have statutory cancellation or withdrawal rights for certain distance purchases. Those rights can be subject to exceptions, including for customised or personalised products.

Nothing in these Terms is intended to remove any mandatory international consumer rights that apply to a particular transaction.

31. Changes to These Terms

Sportsbike may update these Terms from time to time to reflect changes to:

  • our website or business;
  • payment or fulfilment systems;
  • products and services;
  • legal requirements; or
  • operational practices.

The current version will be published on this website with an updated revision date.

Material changes will apply prospectively as required by law and will not remove rights already accrued under an existing accepted order.

32. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be read down or severed to the minimum extent necessary.

The remainder of the Terms will continue to apply.

33. No Waiver

If Sportsbike does not immediately enforce a right under these Terms, this does not mean that right has been waived.

34. Governing Law

These Terms are governed by the laws of Victoria, Australia.

Subject to any mandatory rights to commence proceedings elsewhere, the parties submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.
